question about 301 redirect

Firstly, would using a 301 redirect make sense in the following scenerio:

I have a website (let's call it site A) that seems to have been penalized by google and now google doesn't recognize the home page of the site. So I was thinking of making a new site (let's call it site B) with a new URL and new hosting, etc. but with almost exactly the same content of site A.
I would shut down site A, and do a 301 redirect to site B.
My main concern is that site B won't be penalized in any way, and will be properly indexed by google.

Secondly, how do I do a 301 redirect?

because the reason of you bieng penalized will be likely in the other page to so it better you check things like

if you have hidden text or link

you know black hat seo stuff
